1. DEFINITIONS - In these Conditions the expression 'the System' refers to all the data accessible by the Customer whether onscreen or in hardcopy form and to all application software and documentation (or to any of them or any part of any of them) supplied to the Customer. 'The Customer' is the legal entity(entities) referred to within the agreement with the customer and does not include any other subsidiary or associated company unless specifically named within the agreement.

2. COPYRIGHT - Copyright in the System belongs to Moneyfacts Group plc ('Moneyfacts Group').

3. PROPERTY RIGHTS - 'Money£acts', 'Moneyfacts', and its derivatives and product names are trademarks.

4. LICENCE GRANT - The Customer does not receive title to the System. The Customer has a non-exclusive licence ('the Licence') to use the System subject to these Conditions. The Customer may not, unless otherwise agreed in writing, download the System other than as provided.

5. RESTRICTIONS - The System may only be accessed or used as stated within the contract/agreement. Unless stated it may not be used on more than one station or on multiple computers through file serving, networking, communication packages or otherwise. The Customer may not copy the System except as specifically permitted in these Conditions. The Customer may not remove or alter any proprietary notices, labels or marks on the System. The Customer may not modify, translate, reverse engineer, disassemble or decompile the System. The Customer may not transfer the System without the prior written consent of Moneyfacts Group. The System may not be sold, rented, loaned, leased, shared with third parties or charged for, but may only be used by the Customer as defined above.

6. RESTRICTIONS ON REPUBLICATION - The System is provided for the purposes of information and research by the Customer and its staff.

Provided in all cases Moneyfacts Group is quoted as the source, the Customer may:-
a) print out and distribute hard copies of the System within its organisation; and/or
b) provide hard copies of extracts or illustrations relevant to a specific client; and/or
c) quote extracts of the System in advertisements and promotional material.
Subject to the above the Customer may not reproduce, copy, publish or distribute any of the System without the prior written consent of Moneyfacts Group. In particular, the System must not be used or reproduced for sale or reward in any form.

7. CUSTOMER COMMUNICATION OF THESE CONDITIONS - The Customer agrees to communicate the relevant Conditions to appropriate persons under its employment, direction or control.

8. UNAUTHORISED USE AND COMPLIANCE - The Customer will use all reasonable efforts to see that employees, agents, assigns, or other persons under the direction or control of the Customer abide by these Conditions. The Customer agrees to notify Moneyfacts Group in writing of any unauthorised use.

9. COMPLIANCE WITH RULES AND REGULATIONS - Moneyfacts Group shall ensure so far as reasonably practical that when any of its obligations are performed on the Customer's premises, all reasonable rules and regulations in force, and made known by the Customer to Moneyfacts Group, are complied with by Moneyfacts Group.

10. CONFIDENTIALITY - Both parties undertake to keep confidential information which is either designated as confidential by the disclosing party, or which is by its nature to be regarded as confidential (save that which is required for the purposes of compliance with statutory or regulatory requirements) whether written or oral, that its respective employees, agents or sub-contractors shall have obtained or received:-
a) in the course of negotiations; or
b) in the course of its performing its obligations hereunder; or
c) whilst exercising its rights hereunder.

11. FORCE MAJEURE - Neither party will be liable to the other party for any delay, or failure to perform its obligations, as a result of any cause beyond its reasonable control including, but not limited to, any industrial dispute.

12. NOTICES - Any notice, request, instruction or other document to be given hereunder shall be delivered by hand, or sent by first class post, to the addressee's registered office or any address notified in the original invoice, order or application form or in any subsequent correspondence.

13. WARRANTIES AND PROPERTY RIGHTS - Moneyfacts Group warrants that its title to and property in the System is free and unencumbered and that it has the right, power and authority to License the same upon the terms of these Conditions and any other terms of the agreement with the Customer. Moneyfacts Group also warrants that it will take reasonable precautions to ensure that the System shall contain no viruses or other contaminants and that all services will be performed by competent personnel with reasonable care and skill, in a timely and professional manner and in accordance with normal industry practice.

14. SOFTWARE INSTALLATION - The Customer must satisfy itself that the System is compatible with the hardware and software environments into which it is to be installed.

15. LIMITS OF LIABILITY - The Customer acknowledges that it is never possible to warrant the 100% accuracy or reliability of any system and no liability can be accepted by Moneyfacts Group for any loss or damage arising from the inevitable occasional fault, error or omission however caused. In no event shall Moneyfacts Group be liable to a customer for any special, indirect, incidental or consequential damages relating to or arising out of the use of or failure of the System however caused and on any theory of liability. These limitations will apply even if Moneyfacts Group has been advised of the possibility of such damages. In any event Moneyfacts Group's liability shall in no event exceed the total amount of the annual subscription or payment actually paid by the Customer. The Customer acknowledges that the amount of the annual subscription or payment reflects this allocation of risk. Nothing in these conditions shall exclude or restrict Moneyfacts Group's liability for any personal injury or death caused by Moneyfacts Group's negligence. The Customer's statutory rights are not affected by these conditions.

16. SEVERABILITY - If any of the provisions of these Conditions is declared by a court of competent jurisdiction to be invalid for any reason, such invalidity shall not affect the remaining provisions.

17. GOVERNING LAW AND JURISDICTION - The Laws of England shall apply.

18. CANCELLATION - The Licence shall continue in force until cancelled by either party, on at least one months prior notice in writing to take effect on the last day of the current period for which payment has been or is due to be paid. If the Customer pays by Direct Debit Moneyfacts Group shall not seek any payments for any period after the date on which cancellation takes effect. Upon cancellation of the Licence for any reason, the Customer must destroy all copies of the System and delete it from its hard disk or any other storage medium.

19. NON-PAYMENT - All payments are due and payable on or before the renewal date. In the event of non-payment by the Customer, Moneyfacts Group, at its discretion, may elect to treat the Licence as cancelled or continue the Licence as long as it sees fit and seek continuing payment from the Customer until the Licence is cancelled by the Customer in accordance with these Conditions.

20. HARDWARE - If any hardware is supplied on free loan then:-
a) it remains the property of Moneyfacts Group;
b) it is returnable on demand;
c) it is returnable in any event on the cancellation or termination of the Licence;
d) the Customer shall not allow it out of its possession and control; and e) the Customer shall make good any loss of or damage to the hardware howsoever caused.
21. DATA PROTECTION - The Customer agrees that any data provided may be used for direct marketing and research purposes, that calls and usage data may be recorded and that credit references and other enquiries may be made.

22. Notwithstanding any contrary provision Moneyfacts Group reserves the right if it thinks fit but at its absolute discretion and without giving reason to cancel the Licence forthwith whether as a result of any failure by the Customer to comply with these Conditions or for any other reason or cause.

NO AMENDMENTS OR ALTERATIONS TO THESE CONDITIONS SHALL BE EFFECTIVE UNLESS AGREED IN WRITING. THESE CONDITIONS APPLY IN SUBSTITUTION FOR ANY PREVIOUS CONDITIONS REVISED JANUARY 2003 Ref. 200392
